Terms of Service

Introduction
These Terms of Service ("Terms") govern your access to and use of the Stalmio platform (the "Service"), operated by Knapsack Ltd, a company incorporated in England and Wales (trading as Stalmio). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
Acceptance of Terms
By creating an account or otherwise accessing the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into contracts, and accept these Terms in full. These Terms form a legally binding agreement between you and Stalmio.
Service Description
Stalmio is a B2B marketplace platform designed for professional heavy machinery dealers. The Service enables dealers to list, manage, and promote heavy machinery inventory to potential buyers across Europe. Stalmio acts as a technology platform only and is not a party to any transaction between buyers and sellers.
User Accounts
You must register for an account to access dealer features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account. Stalmio reserves the right to suspend or terminate accounts that violate these Terms.
Acceptable Use
You agree not to use the Service to: (a) list counterfeit, stolen, or illegally obtained machinery; (b) provide false or misleading information in listings; (c) engage in fraudulent transactions; (d) violate any applicable law or regulation; (e) infringe the intellectual property rights of third parties; (f) transmit malicious code or interfere with the operation of the Service.
Intellectual Property
All intellectual property rights in the Service, including software, design, text, and trademarks, are owned by or licensed to Stalmio. You may not reproduce, distribute, or create derivative works from any part of the Service without our prior written consent. You retain ownership of content you submit but grant Stalmio a worldwide, royalty-free licence to use, display, and distribute it for the purpose of operating the Service.
Payments & Refunds
Subscription fees, if applicable, are billed in advance and are non-refundable except where required by applicable law. In the European Union, consumers have a 14-day right of withdrawal for digital services under Directive 2011/83/EU, unless the service has been fully performed with your prior express consent. For UK users, equivalent rights apply under the Consumer Rights Act 2015.
Limitation of Liability
To the fullest extent permitted by law, Stalmio's total liability to you for any claims arising under or in connection with these Terms shall not exceed the amount paid by you to Stalmio in the 12 months preceding the claim. Stalmio is not liable for any indirect, incidental, or consequential damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Governing Law
These Terms are governed by and construed in accordance with English law. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your country of residence provide otherwise. Your statutory rights under applicable consumer protection law are not affected by these Terms.
